David counsels the people who own and run businesses, helping them navigate complicated situations. He also a deal lawyer with considerable experience representing clients in complex business transactions in various industries. David is a Member based in the Lexington office, where he is a member of the Business & Corporate Services Group.
Recent Engagements
- Counsel in numerous recently closed transactions, including the reverse split of the outstanding shares of a Delaware corporation, the acquisition of a nursing home management company, the acquisition of an association management business, and a statutory share exchange by the stockholders of state-chartered trust company and a Kentucky bank.
- Counsel to a national bank in financing backed by Alabama tornado debris removal contracts and counsel through one of the largest equine loan workouts and bankruptcies in industry history.
- Counsel to OCC regulated national trust company and its Delaware holding company on general matters.

Before Stites & Harbison
While in college, David served as a Legislative Intern in the Washington, D.C., office of U.S. Sen. Mitch McConnell, researching and helping prepare floor statements and bills. He focused primarily on the 1995 Farm Bill and other agricultural issues.
More Than Stites & Harbison
David is an active member of the Danville-Boyle County community and a frequent contributor to Central Kentucky charitable endeavors, including Habitat for Humanity. He serves on the Steering Committee of the Great American Brass Band Festival, is a member of the 2020 Equine Industry Vision Group and is a member of the Danville Rotary Club.
Besides Stites & Harbison
David and Eloise raise Oliver Rex and the family’s dogs and cats in Danville. When not at work, David enjoys golfing, fishing and fiddling around in his garage and garden. A native of New Orleans, David has a passion for the city, its culture and traditional New Orleans jazz.
