Martindale Hubbell - Brian T. Nash

Brian Nash is a Member of the firm based in Atlanta.  He is the Atlanta group leader of the Business & Corporate Services Group and is a member of the Intellectual Property & Technology Service Group.  His practice focuses on corporate and technology related transactions, including mergers and acquisitions, private placements, and venture capital and private equity transactions, as well as technology transfer agreements, licensing and distribution agreements, e-commerce agreements, and complex technology purchasing agreements.  He is a member of the firm's opinion letter committee and investments committee.

Mr. Nash focuses on multi-million dollar transactions. Sample transactions include:

  • Software - VC-backed company and market leader in security-related field acquired by Fortune 500 company in a merger priced at more than $85 million
  • IT Solutions - Privately held woman-owned business enterprise acquired via stock purchase by NASDAQ listed company for $54 million
  • IT Consulting - Privately held woman/minority business enterprise acquired via stock purchase by NASDAQ listed company for $22 million
  • IT Services - Financial restructuring of IT services company with operations in New York, New Jersey, Virginia and Georgia
  • Telecommunications - Privately-held Texas telecommunications company acquired with stock purchase for $12 million
  • Franchise - Sale of franchise system to Fortune 50 company in a transaction valued at $125 million
  • Healthcare - Private equity fund acquisition of home heath care agencies with operations in the Southeast in a transaction valued at $24 million
  • Personal care and consumer products - Newly formed entity acquired assets of well-known consumer products company with operations in U.S. and Canada in a deal valued at more than $7.5 million
  • Software - Closed Series E "up rounds" of $3.5 million
  • Life Sciences - Closed multiple convertible debt rounds for medical device company

Before Stites & Harbison

Prior to joining the firm in 2005, Mr. Nash was a Partner at Smith, Gambrell & Russell, located in Atlanta, where he was a member of the Technology Practice Group. From 1994 to 1999, he was a Partner at Schnader Harrison Segal & Lewis, Atlanta, where he practiced in the Business, Intellectual Property and Health Care Departments. Before that, he was an associate in the Corporate Department at Glass, McCullough, Sherrill & Harrold in Atlanta.

From September 1989 to January 1992, Mr. Nash was an associate at Thrasher & Whitley, and from August 1987 to 1989, he as an associate at Vaughan & Murphy; both firms are located in Atlanta.

Prior to the practice of law, Mr. Nash was a systems analyst and software developer for a global manufacturer of recreational and yard care products, with a focus on automated warehouse management systems and order processing systems.

More Than Stites & Harbison

In his spare time, Mr. Nash serves as an Assistant Scoutmaster (and Scoutmaster Emeritus) for Boy Scout Troop 298, which is one of the largest in metro Atlanta.
